NEWGEN FURNITURE LTD – FURNITURE TERMS & CONDITIONS OF SALE

1. Quotations & Orders
All quotations are based on the drawings, specifications, finishes and information available at the date of quotation and are valid for 30 days unless otherwise stated. An order becomes binding once the quotation/order confirmation is accepted and the required deposit has been received.

2. Deposit & Payment
A deposit is payable upon acceptance of the furniture order unless otherwise agreed in writing. Further stage payments and the final balance shall be payable in accordance with the payment schedule stated on the quotation/order confirmation. Payments must be made by the due dates. NewGen Furniture Ltd reserves the right to suspend manufacture, delivery or installation where payments are overdue.

3. Design Approval & Measurements
The customer is responsible for reviewing and approving all drawings, dimensions, finishes, colours, appliance specifications and other design details before manufacture. Manufacture will commence only following final approval. Once approved and manufacture has commenced, changes may incur additional costs and may affect the programme.

Where dimensions are supplied by the customer or a third party, NewGen Furniture Ltd accepts no responsibility for inaccuracies. Where applicable, final site measurements will be taken prior to manufacture.

4. Bespoke & Made-to-Measure Products
Bespoke, made-to-measure and personalised products are manufactured specifically for the customer and, once manufacture or procurement has commenced, cannot normally be cancelled, returned or refunded simply because the customer changes their mind. This does not affect the customer's statutory rights in respect of faulty or non-conforming goods. Bespoke/personalised goods are excluded from the normal cancellation right applying to certain distance and off-premises contracts.

5. Materials, Colours & Samples
Natural materials, timber, veneers, stone and similar products may vary in colour, grain, pattern and texture. Samples and digital images are representative only. Reasonable variations inherent in the material shall not constitute a defect.

6. Lead Times
Any manufacturing, delivery or installation dates provided are estimates unless expressly agreed in writing as fixed dates. NewGen Furniture Ltd will use reasonable endeavours to meet the agreed programme but shall not be responsible for delays caused by circumstances outside its reasonable control, including supplier delays, site conditions, access restrictions or delays caused by other trades.

7. Site Readiness
The customer must ensure that the installation area is clear, accessible and ready for installation on the agreed date. Floors, walls, ceilings, electrical services, plumbing and other relevant works must be sufficiently complete. Additional visits, aborted installations, storage or remedial work resulting from the site not being ready may be charged separately.

8. Variations & Additional Works
Any alteration requested after approval of the design or commencement of manufacture will be treated as a variation. Additional work, materials, return visits or modifications outside the agreed quotation will be charged separately and may extend the completion date.

9. Delivery & Installation
Delivery and installation are included only where expressly stated in the quotation. The customer must provide reasonable access to the property. NewGen Furniture Ltd will take reasonable care during installation but will not be responsible for pre-existing defects or damage caused by unsuitable walls, floors, services or other site conditions.

10. Appliances & Third-Party Products
Manufacturer warranties apply to appliances, lighting, hardware and other third-party products where applicable. NewGen Furniture Ltd's responsibility for such products is subject to the customer's statutory rights.

11. Snagging & Defects
Any visible defects or outstanding installation items should be reported as soon as reasonably practicable following installation. NewGen Furniture Ltd will be given reasonable access and opportunity to inspect and rectify matters for which it is responsible. Normal adjustment, settlement, natural movement and reasonable material variations are not manufacturing defects.

12. Ownership & Outstanding Payments
To the extent permitted by law, title to unfitted goods supplied by NewGen Furniture Ltd shall remain with NewGen Furniture Ltd until payment for those goods has been received in full. Nothing in this clause gives NewGen Furniture Ltd a right to enter a customer's property or remove installed goods without lawful authority.

13. Late Payment
Where an invoice remains unpaid after its due date, NewGen Furniture Ltd reserves the right to suspend further work and pursue recovery of the outstanding amount. Interest and recovery costs may be charged where permitted by the contract and applicable law.

14. Customer-Supplied Items & Other Trades
NewGen Furniture Ltd accepts no responsibility for delays, incompatibility, damage or additional work arising from products supplied by the customer or work undertaken by third parties unless caused by NewGen Furniture Ltd.

15. Liability & Statutory Rights
Nothing in these Terms & Conditions excludes or restricts any liability which cannot lawfully be excluded or any statutory rights available to a consumer. Goods and services will be supplied in accordance with applicable UK consumer law.

16. Governing Law
These Terms & Conditions and any contract between the customer and NewGen Furniture Ltd shall be governed by the laws of England and Wales, and disputes shall be subject to the jurisdiction of the courts of England and Wales.
